Experience

Over 35 years of diversified tax and audit experience with small to large publicly and privately held companies, both in private practice and for Deloitte & Touche and KPMG Peat Marwick, including:

  • Merger and acquisition representation including buyer and seller negotiations, assistance coordinating other representatives (attorneys, investment bankers, and bankers), due diligence review, feasibility studies, financing, and tax consultation;
  • Litigation support in bankruptcy and non-bankruptcy proceedings on corporate reorganizations and other technical tax testimony;
  • Medium to large corporate bankruptcy “turnaround” reorganization planning, business management consultation, and related tax compliance; responsible for what represented 30% of Deloitte & Touche’s bankruptcy reorganization practice;
  • Planning, supervision of information gathering, and technical review for compliance and information reporting of U.S. based multi-nationals and non-U.S. multi-nationals operating within the U.S.;
  • Feasibility study, implementation, and ongoing compliance filings for large and small Foreign Sales Corporations and Interest Charge - DISCS;
  • Domestic and “foreign” large case corporate IRS examination representation and coordination with legal counsel in provision of information, technical research, and expert witness testimony;
  • Management of tax program for seventy executives, including review of U.K. - U.S. Totalization Agreement for the purpose of recommending a revised expatriate tax policy to company management;
  • Development of issues and supervision of global and U.S. tax strategy and planning projects in the following areas:
    • IRC Section 482 Transfer Pricing
    • IRC Section 163(j) Interest Stripping
    • IRC Section 6038A Information Reporting and Recordkeeping Requirements
    • IRC Section 267 Related Party Transactions
    • Maquiladora and PITEX Program, Implementation and Ongoing Compliance Reporting
    • Foreign Tax Credit Utilization
    • Intangible Assets Planning
  • Responsible for quality control in the tax departments of the San Antonio and Austin Deloitte & Touche offices;
  • Responsible for delivery of “out-sourced” program of tax compliance, policy, and planning services (complementing clients with growth related transition needs and those needing to contain costs associated with maintaining a corporate tax department); and
  • Frequent public speaker.
